Strategic structuring of international business

We help founders and international businesses align ownership, company roles, management, cross-border tax exposure and banking logic in one coherent international structure that reflects how the business actually operates.

Group architecture · Tax, VAT & PE interfaces · PE & cross-border teams · Banking & regulatory readiness

Start with what is driving the review now

The first step should follow the trigger: international expansion, owner relocation, banking scrutiny, private capital needs, or a major transaction or structural change.

International expansion or group architecture

The business is entering a new country, adding a foreign entity or reaching the point where an existing group needs one coherent ownership, governance and operating model.

Group Structuring →

Founder Mobility & Business Relocation

A founder, owner or director is moving country and the consequences extend beyond personal residence to management, company residence, CFC/PE exposure, banking, governance and restructuring.

Explore the relocation route →

Bank / PSP / Source of Funds scrutiny

A bank or payment provider needs a clear explanation of ownership, UBO, business model, flows, Source of Funds / Source of Wealth and the evidence behind them.

Banking Readiness →

Private capital or family office

Operating businesses, investment assets and family interests across jurisdictions need coherent ownership, governance, succession and wealth-provenance planning.

Private Capital →

Transaction, investor or major structural change

An existing structure needs to be tested before a sale, investment, financing, restructuring, due diligence process or a material change in operations.

One structure. Several connected workstreams.

We test ownership, management, cross-border tax interfaces, banking, governance and evidence against how the business actually operates. Where a matter requires a jurisdiction-specific legal, tax or regulatory conclusion, that conclusion is provided or confirmed by an appropriately qualified professional and integrated into the overall project architecture.

Business architecture → ownership, company roles, management and real flows
Cross-border risk → tax residence, CFC, PE, VAT and treaty interfaces
Banking & capital → KYC/AML logic, Source of Funds / Source of Wealth and explainable flows
Governance & evidence → authority, decisions, substance and a verifiable document trail

Business reality comes before jurisdiction.

Concrete work products — not disconnected recommendations

The exact scope depends on the engagement. The output is translated into defined work products that show the current structure, material dependencies and implementation priorities.

Structure Map

Entities, ownership, company roles, management, functions and material relationships.

Risk Matrix

Material cross-border dependencies and risks across tax, PE/VAT, banking, governance and regulation.

Governance & Evidence Assessment

Authority, decision trail, banking narrative and the evidence supporting how the model actually operates.

Implementation Roadmap

A prioritised sequence of changes, specialist conclusions and documents required for implementation.

What structural work looks like in practice

Banking onboarding
Problem

A group across several jurisdictions was refused account openings: the bank could not trace the ownership logic and the origin of funds.

Approach

We rebuilt the business story, aligned the flows with company roles and prepared explainable SOF/SOW documentation to the bank's requirements.

Outcome

An ownership-and-flow map, an aligned business narrative and a set of SOF/SOW evidence were prepared for the banking review.

PE risk and the team
Problem

Team growth across several countries created permanent-establishment risk and questions about the owner's tax residency.

Approach

We matched functions, authority and people's presence to the corporate architecture, and set up governance so that it matched reality.

Outcome

A PE risk map, a team authority matrix and a governance model aligned with the actual management of the business were prepared.

Entering a new market
Problem

When entering the EU, a standard "by-country scheme" ignored VAT logic, the regulatory perimeter and presence requirements.

Approach

We designed the structure around the specific operating model: company roles, the VAT perimeter, presence and the permissibility of operations.

Outcome

A target Structure Map, a VAT roadmap, a regulatory perimeter and a list of questions for local tax and legal advisers were produced.

Actual projects and details are confidential. The scenarios are generalised and anonymised. They illustrate the nature of the work and are not a promise of a particular outcome: decisions are made independently by banks, regulators and tax authorities.
