A Dutch HoldCo can be useful for investment, governance and multi-entity ownership — but institutional investment alone does not make it necessary.

Entity Necessity first

If an investor can enter the existing operating company directly and no separate parent function materially improves the structure, a Dutch HoldCo remains optional rather than automatic.
