The United Kingdom in International Structures: Business, Holding and Founder Structures

A UK company can be relatively straightforward to incorporate. But ease of incorporation does not make the UK the right jurisdiction. The key issue is the real function the UK entity performs within the overall business model.

Core question: what exactly should the UK company do — and what would materially change if it were removed?

Function First — UK Company Second

The UK remains a highly recognisable corporate jurisdiction, but familiarity with the Ltd format is not a reason by itself to introduce a UK company.

OWNERSHIP → PEOPLE → MANAGEMENT → FUNCTIONS → ASSETS → RISKS → FLOWS → MARKETS → BANKING

Entity Necessity Test: what materially changes if the UK entity is removed?

A genuine UK operating business, market access, holding function, investor architecture, acquisition function, management layer or distinct commercial function may justify the entity. If the business, team, management, customers and assets are effectively elsewhere, its necessity should be challenged.

When the United Kingdom May Genuinely Be Relevant

Operating Business

UK customers, local sales, people, office, contracts, management, procurement or distribution can form a genuine operating footprint.

Founder-Led / Service Business

A UK Ltd does not relocate a founder who lives, works and makes decisions elsewhere. Residence, PE, payroll/social security, VAT, place of work, remuneration and CFC/anti-deferral rules may need review.

Holding / Investment Company

Subsidiaries, dividends, shareholders, management, financing, treaties, domestic exemptions, future exit and business rationale must be tested together.

Market Entry / M&A

Local contracts, people, sales, imports, registrations and licences; for acquisitions, financing, debt, interest deductibility, integration, TP, distributions, management and future exit.

Corporate Tax Residence: Incorporation Is Only the First Layer

Under UK domestic rules a company is generally UK tax resident if it is incorporated in the UK or its central management and control is in the UK. For a UK-incorporated company, incorporation will therefore generally establish UK residence.

Another country may simultaneously apply its own residence test, creating possible dual residence.

UK domestic residence → foreign domestic residence → possible dual residence → applicable DTA → treaty residence / tie-breaker analysis

Treaty effect. Where an applicable DTA awards residence to the other state, UK treaty-non-resident rules may cause the company to be treated as non-UK resident for UK tax purposes. The exact treaty wording therefore matters.

Where Are the Highest-Level Decisions Really Made?

Central management and control focuses on the highest level of control of the company, not merely routine day-to-day operations.

Relevant facts include strategic decisions, director and board location, approval of major contracts, banking and financing control, business strategy, actual authority and whether board minutes reflect genuine decision-making. Founder-led UK companies managed from another country require particular care.

A Registered Office Is Not an Operating Model

Governance

Directors, board authority, reserved matters, shareholder control and corporate records.

People & Functions

Who performs key functions, negotiates, contracts and controls operations?

Assets & Risks

Which assets belong to the company, which risks it assumes and controls, where IP sits and who finances activity?

Evidence

Agreements, minutes, correspondence, accounting, invoices, payroll, banking records and operational evidence.

Substance is alignment: legal structure → people → functions → decisions → risks → economic reality.

19% or 25% Is Not a Structuring Answer

For the financial year beginning 1 April 2026, the UK Corporation Tax framework provides, for relevant companies, a 19% Small Profits Rate for profits up to £50,000, a 25% Main Rate above £250,000 and Marginal Relief between those limits. The thresholds may be reduced, including by reference to associated companies.

Holding / investment structures. A company qualifying as a close investment-holding company does not benefit from the Small Profits Rate or Marginal Relief and is subject to the main rate. A holding company of a genuine qualifying trading or property group may, subject to conditions, fall outside the CIHC category.

Taxable profits, associated companies, deductions, financing, interest, TP, losses, capital allowances, distributions and cross-border payments must also be considered.

Dividends and Substantial Shareholdings Exemption

The UK has a broad exemption framework for distributions received by companies. Many qualifying UK and overseas dividends may be exempt, subject to statutory classes, exceptions, anti-avoidance, hybrid/deductible-payment issues, source-country WHT, DTA and group structure.

Ordinary dividends paid by a UK company to non-UK shareholders are generally not subject to standard UK dividend withholding tax. But 0% UK withholding does not mean 0% total tax; shareholder-country taxation remains separate.

For certain corporate disposals the Substantial Shareholdings Exemption (SSE) may apply. A typical substantial shareholding includes at least a 10% participation with relevant economic rights and the required holding period, but relief depends on the statutory conditions of the transaction.

Interest, Royalties and Financing

Dividends

Ordinary UK corporate dividends are generally paid without standard UK dividend WHT.

Interest

Certain UK-source yearly interest may be subject to withholding unless a domestic exemption, treaty relief or another rule removes or reduces it.

Royalties

Certain UK-source royalties may also create withholding obligations; a DTA may reduce or eliminate withholding where conditions are met.

DIVIDENDS · INTEREST · ROYALTIES · SERVICE FEES · MANAGEMENT FEES are analysed separately.

Intercompany Pricing and Taxable Presence

The UK transfer pricing regime contains SME exemptions for many small and medium-sized enterprises, but with exceptions and specific rules. Scope comes first, followed by controlled transactions, functions, assets, risks, arm's-length pricing, contractual terms, actual conduct and documentation.

An agreement should reflect economic reality. It cannot manufacture that reality on paper.

PE analysis works in both directions: Foreign company → possible UK PE and UK company → possible foreign PE. Fixed place, personnel, dependent-agent activity, contracting structures and actual presence are fact-sensitive.

UK and EU Architecture Must Be Analysed Separately

After Brexit, UK and EU VAT architecture must be analysed separately. For Great Britain, they operate as separate VAT systems for relevant cross-border transactions. Northern Ireland has a special regime for goods under the Windsor Framework while remaining part of the UK VAT system; UK rules continue to apply to services.

Place of supply, B2B/B2C, goods/services, imports/exports, customer location, registration, reverse charge, digital services, customs and NI rules may all matter. A UK company is not automatically an EU VAT solution.

Where warehousing, employees, customers, goods movements or fulfilment sit in the EU, a UK company + EU operating/VAT footprint may be required — or the UK entity may not be necessary.

A UK Company Is a Transparent Compliance Vehicle

From 18 November 2025, identity verification became a legal requirement for company directors and People with Significant Control (PSCs). Existing directors are subject to transitional arrangements linked, among other things, to the confirmation statement process; existing PSCs have their own verification windows.

Corporate compliance in 2026 therefore includes identity/control/registry requirements, an appropriate registered office, a registered email address and accurate Companies House information for directors and PSCs.

Formal shareholding and actual control can differ. Ownership, voting rights, appointment/removal rights, significant influence/control and indirect chains should be tested. Inconsistencies between Companies House, bank KYC, contracts, tax filings and actual control create compliance risk.

Bankability and Personal Tax Are Separate Layers

Companies House registration does not guarantee account opening. Banks and payment providers may review UBOs, directors, residence, business model, turnover, customers/suppliers, SoF, SoW, payment geographies, sanctions exposure, website, contracts and operational footprint. The structure should tell one coherent economic story.

A corporate wrapper does not eliminate the founder's personal tax position. Company residence/CT/VAT/PE/payroll/TP; founder residence/salary/director remuneration/dividends/social security/CFC/place of work; and the interface between them must be assessed separately.

Founder in Germany, Company in the UK

If a founder lives and works in Germany, owns a UK Ltd and is its director, the analysis cannot stop at UK Corporation Tax. UK residence, CT, Companies House and VAT/payroll; German corporate-residence nexus, PE, personal taxation, salary/dividends, social security and CFC/anti-deferral; and the treaty interface — dual residence, PE, taxing rights and double-tax relief — all require review.

When a UK Layer May Be Unjustified

  • No genuine UK function: customers, people, management, assets, investors, market or acquisition role.
  • The company was selected only because incorporation is easy.
  • The entire business is effectively located elsewhere.
  • The business is primarily EU-focused.
  • The founder is attempting to solve personal tax through a foreign company.
  • The holding layer does not improve ownership, governance, investment or exit architecture.

Five Roles for a UK Layer

01 · UK Operating Company

Founder/Parent → UK Ltd → UK Customers / Team / Operations.

02 · UK Holding / Investment Layer

Shareholders → UK HoldCo → Operating Subsidiaries. Dividends, SSE, financing, treaties, management and CIHC.

03 · Founder-Led International Business

Founder → UK Ltd → International Customers. Corporate + personal interface.

04 · UK + EU Operating Structure

UK Entity + EU Entity/Footprint → UK Market + EU Market.

05 · Acquisition / Investment

Investors/Parent → UK Acquisition/Holding Vehicle → Target.

What Should Be Determined Before Creating a UK Company?

  1. Function: operating, holding, investment, market entry or acquisition?
  2. Entity Necessity: what changes if the UK company is removed?
  3. Management: who actually manages it and where are highest-level decisions made?
  4. People & Operations: where are founder, directors, employees, contractors, customers and team?
  5. Cross-Border Interfaces: where can residence, PE, VAT, payroll, CFC and personal tax claims arise?
  6. Flows: sales, services, dividends, interest, royalties, management fees?
  7. Banking: can the structure withstand KYC, UBO, SoF, SoW and business-model review?
  8. Exit: sale, relocation, distributions, restructuring?

The United Kingdom Should Be Part of the System — Not a Standalone Product

A UK Ltd can be a strong component where the UK genuinely provides a market, operating business, management, investors, holding or acquisition function. Incorporation alone does not resolve tax residence, PE, VAT, founder taxation, banking, substance, TP or EU operations.

The right question: what function does the United Kingdom perform in this particular international structure — and does that function withstand tax, corporate, banking and operational reality?
