Ukraine in an international business structure
Ukrainian law + international architecture in one Matter. LEXONYX supports Ukrainian founders, owners and companies when building, changing and protecting cross-border structures.
When Ukraine is part of the international structure
Ukraine → Germany / EU
A founder relocates while the Ukrainian company, assets, team or operations remain part of the business.
Ownership & restructuring
Changes in ownership, shareholder architecture and the Ukrainian-law component of cross-border restructuring.
Investor entry
An investor enters a Ukrainian or international business with Ukrainian assets, teams or IP.
Banking / SoF / SoW
Business history, source of funds and evidence packages for banks, investors and regulated counterparties.
What LEXONYX handles directly
Ukrainian corporate law, ownership and shareholder issues, the Ukrainian-law component of restructurings and transactions, Ukrainian-law contract work, corporate governance, due diligence and other Ukrainian-law matters within the professional scope of an Advokat (Ukraine).
In parallel, LEXONYX handles the cross-border architecture: Current State, Entity Necessity, Target State, management and control map, banking, SoF/SoW, evidence, specialist coordination and implementation roadmap.
Where local professionals are engaged
German, Polish, Cyprus, Dutch, UAE and other jurisdiction-specific legal and tax conclusions are provided by professionals qualified in the relevant jurisdiction. LEXONYX coordinates their work and integrates conclusions into a single Target State.
A foreign company is not automatically required
International activity, founder residence outside Ukraine or work with EU customers does not by itself mean that a Ukrainian company should be replaced by a foreign HoldCo or that IP should automatically be transferred. Every new entity needs an independent function, Business Purpose and operational logic.
When Germany and Ukraine affect the same structure, review them as one system
Connect founder residence, company management, PE/CFC, payments, governance, banking and evidence in one Germany–Ukraine architecture.
